Terms of Service

1. Scope

These Terms apply to the use of Wertly (website wertly.ch and the web app/PWA at app.wertly.ch, together "Wertly" or "the Service"). Wertly is directed exclusively at consumers (private use). By registering, you confirm that you are at least 18 years old. Who your contracting party is ("we") and how to reach us is set out in Section 20.

2. What Wertly is — and what it is not

Wertly is a tool with which you record, track and visualise your net worth yourself: you enter your assets and liabilities; Wertly displays overviews, histories and computational projections. Your financial data is end-to-end encrypted in the process (details in the Privacy Policy).

Wertly is not a financial service provider. We do not offer investment, tax or legal advice, do not recommend financial products, do not manage assets, do not accept funds and do not execute transactions. Details in Section 9 — please read that Section.

3. Registration and account

You need an account to use the Service (e-mail address and password). Your details must be accurate; your account is personal and may not be shared with third parties. You are responsible for keeping your access credentials confidential.

By registering, you accept these Terms and acknowledge the Privacy Policy; this is indicated at registration.

The contract for the use of Wertly is concluded upon completion of registration; the contract for a paid plan upon completion of the payment process.

4. Free trial

Every new account receives a 14-day free trial. No payment card is required for this, and no automatic payment obligation arises — the trial does not convert into a paid subscription by itself.

After the trial expires, the functionality is locked. You can still log in and (a) export your data as a JSON file, (b) delete your account, or (c) purchase a plan and continue working without any data loss.

5. Plans and prices

All prices in Swiss francs (CHF). The final price shown at checkout is decisive. The available payment methods are shown at checkout.

6. Founder offer and price guarantee

The Founder plans are limited to the first 100 buyers (one Founder place per person). After that, the regular prices apply.

Founder price guarantee: if you purchase Founder Annual, your price of CHF 79/year remains in place for your subscription permanently — even if the regular prices increase. The guarantee is linked to your Founder record (see Privacy Policy) and also remains in place if you end your subscription in the meantime and return later. So that we can identify you upon your return, ideally use the same e-mail address again — or contact support@wertly.ch with your purchase confirmation; we will then restore your Founder conditions.

A Founder place is allocated definitively upon purchase. It does not become available again even if the purchase is refunded or the account is deleted; a refunded Founder purchase does not create a claim to a new Founder place.

7. Payment, renewal, cancellation

Payments are processed via our payment provider Stripe (Stripe Checkout). Payment data is collected directly by Stripe. For purchases from certain countries, the sale may be handled via Stripe as Merchant of Record; in that case, this is indicated at checkout and Stripe's terms of sale additionally apply.

Automatic renewal: Annual plans renew automatically for a further year at the price then applicable to you (Founder: the guaranteed Founder price). We will announce any price increase to you at least 30 days before your next renewal by e-mail or in the app; if you do not agree, you can cancel before the renewal. You can end the renewal at any time: in the app under Settings → Manage subscription (redirect to the Stripe customer portal). Cancellation takes effect at the end of the current, already paid period; access remains until then. Periods already paid are not partially refunded upon ordinary cancellation (but see Section 8).

8. 30-day money-back guarantee

We voluntarily offer a money-back guarantee: within 30 days of the first purchase of a plan, you may request a full refund without giving reasons — by e-mail to support@wertly.ch from your registered address.

The guarantee applies to the first purchase of a plan, not to automatic renewals (which you can end at any time before renewal, Section 7). With the refund, the paid access ends; a Founder place remains allocated in accordance with Section 6. The refund is made via the original payment method; the credit takes a few bank working days depending on the provider.

Beyond this, no statutory right of withdrawal exists for online purchases under Swiss law; mandatory rights of consumers residing abroad remain reserved.

9. No financial advice — projections are estimates

Please read this Section carefully.

Wertly does not provide financial services. We do not offer investment, pension, tax or legal advice and make no recommendations to buy, sell or hold any assets or financial instruments.

All projections, charts and calculations in Wertly are purely mathematical estimates based exclusively on your own inputs and your own assumptions (e.g. growth rates). They are not forecasts, not promises and not a guarantee of future developments. Actual results will differ from the values shown — potentially significantly.

Cryptocurrencies are extremely volatile. Projections for crypto positions are especially uncertain and cannot depict actual developments. Past or assumed growth rates allow no conclusion about the future.

Wertly is not a basis for financial decisions. Consult a qualified professional for that.

10. Your data, encryption and Recovery Key

Your financial data belongs to you. It is encrypted on your device; we cannot read its content (details in the Privacy Policy). Via "Export data" you can export your data at any time as a JSON file.

Important — please note: when setting up encryption, you receive a Recovery Key. Keep it safe (e.g. password manager or a printout in a secure place). If you lose access to your device AND your Recovery Key, your encrypted data cannot be restored by anyone — not even by us. This is a direct consequence of the end-to-end encryption that protects your data. We accept no responsibility for data loss resulting from a lost Recovery Key.

11. Availability

We strive for reliable operation but do not guarantee uninterrupted availability of the Service. Maintenance, updates or disruptions (including at third parties such as hosting or the payment provider) may lead to temporary interruptions.

12. Permitted use

You use Wertly exclusively for recording your own financial data and in a lawful manner. The following in particular are prohibited: attacks on or circumvention of security mechanisms, automated scraping, resale of access, and any use that harms the Service or third parties. In the event of serious or repeated violations, we may suspend or terminate your account after prior warning; in particularly grave cases, also without notice.

13. Intellectual property

The software, design and content of Wertly remain our property or that of our licensors. You receive a simple, non-transferable right of use for the duration of your access. Your own data, of course, remains yours.

Feedback and suggestions. If you send us ideas, suggestions or bug reports via the feedback function, we may use them freely to improve Wertly, without compensation and without obligation. Feedback messages are not end-to-end encrypted — do not write any financial data or any personal or sensitive information in them.

14. Account deletion and end of contract

You can delete your account at any time in the settings. In doing so, any existing subscription is first ended at Stripe; your data is then irretrievably deleted — the process, technical details and timeframes (including a short residual period in backups) are described in the Privacy Policy. For periods already paid, there is — outside the guarantee under Section 8 — no claim to a refund.

15. Lifetime plan: what "Lifetime" means

Definition — please note: "Lifetime" means access to Wertly for the entire operating life of the Service, but at least for 3 years from your purchase.

Should Wertly be permanently discontinued before these 3 years expire, we will refund you the unused portion of the purchase price. Formula: refund = (36 − fully elapsed months since purchase) ÷ 36 × purchase price. After the 3 years have expired, no refund claim exists in the event of a later discontinuation.

We will announce a permanent discontinuation of the Service at least 30 days in advance — earlier whenever possible. Data export remains possible until the end.

16. Liability

We are liable without limitation for damage caused by unlawful intent or gross negligence, and in all cases of mandatory statutory liability. Liability for slight negligence is excluded to the extent permitted by law; this also applies to auxiliary persons.

In particular, we are not liable for: losses or disadvantages arising from your financial decisions (Section 9), data loss resulting from a lost Recovery Key (Section 10), and — within the scope of the permissible exclusion — temporary unavailability (Section 11).

17. Changes to these Terms

We may amend these Terms, for instance in the case of new features or a changed legal situation. We will inform you of significant changes at least 30 days in advance in the app or by e-mail. If you do not agree with a significant change, you may cancel before it takes effect; your subscription then ends at the end of the paid period. If you have a Lifetime plan and reject a significant change to your detriment, you may terminate the contract; within the first 3 years from purchase, we will in that case refund you the unused portion of the purchase price according to the formula in Section 15. The Founder price guarantee (Section 6) and the Lifetime definition (Section 15) remain unaffected by changes to these Terms to your detriment.

18. Applicable law and place of jurisdiction

Swiss law applies. The place of jurisdiction is Zurich, Switzerland. Mandatory provisions for the protection of consumers — including mandatory places of jurisdiction at the place of residence — remain reserved.

19. Final provisions

Should any provision of these Terms be wholly or partially invalid, the validity of the remaining provisions remains unaffected. These Terms are provided in German and English; in case of discrepancies, the German version prevails.
